Sika Expands Footprint in Africa

Sika is opening its first concrete admixture and mortar production facilities in Nigeria and Ivory Coast and has established new subsidiaries in Ethiopia and Tanzania to participate in the growing markets in the Sub-Saharan region. Thus Sika continues its dedicated and successful expansion strategy and is enlarging its presence to sixteen countries on the African continent.

Sika Opens Fourth Production Site in Russia

Sika is continuing to increase its production capacity in Russia through new and expansion investments. In Volgograd, in southern Russia, a mortar factory and a plant to produce concrete admixtures are being opened. At the existing site in Lobnya, 30 km north of Moscow, a new production facility, which will manufacture polymers for concrete admixtures, is coming on stream. The investments are aimed at strengthening Sika's position as a market leader in Russia for concrete admixtures.

Sika Acquires Addiment Italia from Buzzi Unicem

Sika AG acquired the remaining shares of the Italian based Addiment Italia from its joint venture partner Buzzi Unicem. The company is active in the production and sale of concrete admixtures and cement grinding aids. The transaction will strengthen Sika’s production set up in Italy and increase its market presence. Addiment Italia generated sales of EUR 14 million in 2014.

Shareholders Follow Most Proposals of the Board of Directors

At today's extraordinary general meeting, the shareholders voted mostly in accordance with the proposals and recommendations of the Board of Directors. In particular, the shareholders rejected the removal from office of Monika Ribar, Paul Hälg and Daniel Sauter. Max Roesle, who had been suggested by Schenker-Winkler Holding AG (SWH) as chairman of the Board of Directors, was not elected. The general meeting though rejected the compensation of the Board of Directors for the current term of office. Such rejection will, however, not have an impact on the Board's commitment for the company.

Federal Administrative Court Confirms Validity of Opting-out Clause

According to a press release published today, the Federal Administrative Court rejected the appeal filed by the shareholder group William H. Gates III and Melinda French Gates (as Trustees of the Bill & Melinda Gates Foundation Trust) and Cascade Investment. With this decision the Federal Administrative Court confirmed FINMA's decision pursuant to which the opting-out clause, according to article 5 of Sika AG's articles of association, is applicable to the proposed acquisition of Schenker-Winkler Holding AG by Saint-Gobain and Saint-Gobain is not obliged to submit a public tender offer to all shareholders of Sika AG. Sika itself did not appeal the FINMA decision and was not a party to the proceedings before the Federal Administrative Court.

Challenge Against Certain Resolutions of the General Meeting by Schenker-Winkler Holding

The Cantonal Court of Zug has served Sika AG today with a challenge and voting right action of Schenker Winkler-Holding (SWH) against certain resolutions of the ordinary general meeting of Sika on April 14, 2015. With its action SWH challenges in particular the re-election to the board of directors of Ms. Ribar and Messrs. Hälg, Sauter, Suter and Tobler as well as the non-election of Mr. Roesle to the board. Sika will respond to the action of SWH in the context of the court proceedings.

Sika Board Secures Continuity

The Board of Directors of Sika continues its efforts to maintain the continuity in the leadership of the company despite the on-going dispute. Therefore after careful analysis the Board of Sika decided today to restrict the voting rights of Schenker-Winkler Holding to 5% of all registered shares pursuant to art. 4 of Sika's articles of association regarding transfer right restriction.

Superior Court of Zug Denies Appeal of SWH - Decision of First Instance Confirmed

The Superior Court of Zug (Obergericht Zug) has denied the appeal of Schenker-Winkler Holding AG (SWH) in the summary proceedings regarding the restriction of the voting rights. The decision of the first instance (Kantonsgericht Zug) was fully confirmed. Also according to this court, the issue of the restriction of the voting rights shall be decided in ordinary proceedings. The Board of Sika welcomes the decision and will analyse it in detail.

Sika Acquires Construction Technologies Australia

Sika has agreed to acquire Construction Technologies Australia Pty Ltd (CTA), one of the leading suppliers of tile adhesives and associated mortar products in Australia. CTA generated sales of CHF 22 million in 2014 and has 51 employees. The CTA plants bring Sika’s mortar footprint to 79 factories worldwide.

Shareholder Support for Sika Board Directors and Management Increases to over 50 percent

An ever growing number of Sika shareholders are actively opposing Saint-Gobain's plans to take control the company in a hostile takeover. Only ten weeks after Saint-Gobain's intentions became public, shareholders representing more than half of Sika's capital have explicitly declared their support for the course adopted by the Board of Directors and management of Sika.

Gates Foundation Trust / Cascade Calls for Saint-Gobain to Make Public Tender Offer to all Shareholders of Sika

Sika AG has received notice that the Bill and Melinda Gates Foundation Trust and Cascade Investment, L. L. C. (together the Applicants) have filed a request with the Swiss Takeover Board. The Applicants now hold jointly 3% of the voting rights of Sika AG and have been longstanding shareholders of Sika. The Applicants have requested the Swiss Take Over Board to declare that Saint-Gobain is obliged to submit a public tender offer for all the publicly-held shares in Sika AG.

Sika Acquires Axson Technologies

Sika has agreed to acquire Axson Technologies. The intended transaction was initially announced in January 2015. With annual sales of CHF 75 million and 365 employees, Axson Technologies is a leader in the field of epoxy and polyurethane polymer formulations for design, prototyping and tooling, structural adhesives, composite materials and encapsulation products for the automotive, aeronautical, nautical, renewable energy, sports & leisure and construction markets. This acquisition, will significantly broaden Sika's product range in the global Tooling and Composites business.

Takeover Board Takes Decision on Opting-out

Yesterday evening the Swiss Takeover Board decided that the Opting-Out of Sika AG pursuant to article 5 of the articles of incorporation is valid as such. The Takeover Board has explicitly not decided the question whether in view of the proposed transaction the use of the Opting-Out by Saint-Gobain is abusive as has been put forward by Sika. According to the Takeover Board this question will only have to be decided if indeed Saint-Gobain were to acquire more than 33 1/3% of the votes in Sika and then invoked the Opting-Out.

Swiss Takeover Board confirms application of opting-out clause

Today the Swiss Takeover Board issued a decision in the proceeding initiated by Bill and Melinda Gates Foundation Trust as well Cascade Investment with their request of March 5, 2015. The decision confirms that the opting out clause according to art. 5 of the articles of association of Sika AG applies to the proposed acquisition of Schenker-Winkler Holding AG and that Saint-Gobain and persons acting in concert with Saint-Gobain are not obligated to submit a public offer to the shareholders of Sika AG.

Court of Zug Denies Request for Extraordinary Shareholders Meeting

The court of Zug has denied Schenker-Winkler Holding's request for an extraordinary shareholders meeting. The court ruled that it does not make sense to hold such meeting shortly before the ordinary shareholders meeting and that no particular urgency exists. The court expressly left the issue on the limitation of the voting rights open.
